Services

Zerologic provides brand strategy, identity design, product design, digital presence, market positioning, and go-to-market services as agreed in a signed project scope. The specific deliverables, timelines, and fees for each engagement are defined in a separate project agreement or statement of work. These terms govern the general relationship between Zerologic and its clients.

Payment

Fees are as specified in the project agreement. Unless otherwise stated, fifty percent of the project fee is due upon engagement commencement, with the remainder due upon project completion or as agreed in milestone-based schedules. Late payments beyond fourteen days of the due date may accrue interest at 1.5% per month. Zerologic reserves the right to pause work on accounts with outstanding invoices.

Intellectual property

Upon receipt of full payment, ownership of all final deliverables created specifically for the client transfers to the client. Zerologic retains ownership of all preliminary concepts, unused designs, proprietary methods, frameworks, and tools developed in the course of an engagement.

Zerologic retains the right to display completed work in its portfolio, case studies, and marketing materials unless the client requests confidentiality in writing prior to project commencement.

Client responsibilities

Clients are responsible for providing accurate and complete information, timely feedback within agreed review windows, and necessary approvals to keep the project on schedule. Delays caused by incomplete information or missed review deadlines may result in revised timelines or additional fees. Clients are responsible for securing any third-party rights (photography, licensed content, fonts) not supplied by Zerologic.

Revisions and scope

Each project agreement specifies the number of revision rounds included. Requests beyond the agreed scope — including additional concepts, significant directional changes, or new deliverables — will be scoped and billed separately. Zerologic will communicate scope changes in writing before proceeding.

Confidentiality

Both parties agree to keep confidential any proprietary information shared during an engagement — including business strategy, unreleased product details, financial data, and client lists. This obligation continues for two years after the engagement ends. Neither party will disclose the other's confidential information to third parties without written consent, except as required by law.

Limitation of liability

Zerologic's total liability arising from any engagement shall not exceed the total fees paid by the client for that engagement. Zerologic is not liable for indirect, incidental, or consequential damages including lost revenue, lost profits, or business interruption. Zerologic does not guarantee specific business outcomes from brand, design, or go-to-market work.

Termination

Either party may terminate a project engagement with fourteen days' written notice. Upon termination, the client is responsible for fees covering all work completed up to the termination date. Zerologic will deliver all completed work product upon receipt of final payment for work rendered. Deposits are non-refundable once work has commenced.

Governing law

These terms are governed by the laws of India. Any disputes arising from an engagement shall first be addressed through good-faith negotiation. If unresolved, disputes shall be subject to the exclusive jurisdiction of the courts of New Delhi, India.

Changes to these terms

Zerologic may update these terms periodically. Material changes will be noted with a revised effective date. Continued use of our services after changes constitutes acceptance of the updated terms. Project agreements in force at the time of an update continue under the terms agreed at signing.
